InAmerica Completes Acquisition of Dynamic Process Industries (DPI) From Thermatrix, Inc.


Dallas, TX - August 13, 1999 - InAmerica Corporation (NASDAQ BB: INAO), announced today that it has closed on the agreement with Thermatrix, Inc. (NASDAQ: TMXI), to acquire Thermatrix’s DPI Division of Ferguson International, Inc., a leading manufacturer of Belt Skimmer systems for the removal of hydrocarbons from groundwater and process fluid reclamation.


Earlier this year, Thermatrix acquired Ferguson International from InAmerica primarily for its ammonia and DeNOx technology (See “InAmerica To Sell Ferguson International to Thermatrix, Inc.” -Dallas, XT March 15, 1999). As DPI’s environmental product lines were in water remediation and reclamation, it was clear DPI was not in Thermatrix’s focus.At that time, InAmerica and Thermatrix began negotiations to carve out DPI and allow InAmerica to re-acquire it.


InAmerica has formed a new subsidiary, ExoGear Corporation to manufacture and market Belt Skimmer Systems through a network of dealers and distributors as well as directly through the Internet.


InAmerica is a diversified holding company that specializes in developing leading edge innovative technologies and the acquisition, reorganization and turnaround of distressed businesses that retain dramatic potential once a recovery is completed.  The company typically seeks to divest itself of the revived businesses through spin-off or outright sale to a company with a strategic need and fit.
