InAmerica Obtains VSSI Software License For Its U3 Technology Product


Tulsa, OK,- October 10, 1991- InAmerica Corporation, a turnaround specialty firm, announced today that it has entered into a license agreement with Voice Systems and Services, Inc. (VSSI) which provides for the perpetual use of all VSSI software utilized by InAmerica’s “Grapevine” product.  letter of intent with Automotive Income Management, Inc., a privately-held corporation, to purchase Automotive’s business and assets, a direct marketing company working exclusively within the automotive industry.  Additionally, VSSI will house, operate and maintain the Grapevine system on its servers.


The consideration for the perpetual license will be the issuance of 2,600,000 shares of InAmerica Corporation Class A Common shares, par value $.001, from its authorized but unissued shares.  The effect of this issuance will be to increase the total issued and outstanding common shares from 23,172,760 to 25,772,760.  The transaction also provides for an additional $100,000 payment to VSSI, upon a secondary public offering of InAmerica’s stock.
